Chief Ethics and Compliance Officer

The Chief Ethics and Compliance Officer (“CECO”) leads PAE’s ethics and compliance program.  Key responsibilities include providing guidance and training on ethics and compliance issues, investigating allegations of ethical or compliance violations, reporting on ethics and compliance issues to senior PAE leadership, promulgating the company’s Code of Conduct, and representing the company on ethics matters with government agencies and other companies.  The CECO reports directly to the General Counsel and has open communications with the Board and the CEO.  This position provides thought leadership on business ethics issues throughout PAE and focuses on enabling employee compliance with laws, regulations, and company policies and procedures, including the Code of Conduct. The CECO will further ensure that the company’s compliance efforts are effective and represent legal, common-sense solutions.

Essential Functions:

Lead the ethics and compliance program for the organization

Report on ethics and compliance issues to the Board and company leadership

Respond to alleged violations of rules, regulations, policies, procedures, and the Code of Conduct by investigating or recommending the initiation of an investigation in consultation with PAE’s General Counsel and/or PAE’s Chief Human Resources Officer

Consult with PAE’s legal counsel as needed to resolve difficult legal compliance issues

Collaborate with business leadership to develop corrective actions to resolve matters quickly

Manage the development and implementation of ethics and compliance initiatives to ensure that the company remains current with compliance initiatives and trends 

Design and implement effective communications strategies regarding compliance matters and the Code of Conduct throughout the company’s global footprint

Chair the PAE Compliance Council and the PAE Privacy Council

Maintain a compliance feedback/prevention process that uses the results of audits, investigations and the recommendations of the Compliance Council to develop, revise and strengthen new and/or existing policies, procedures, and relevant employee training

Direct and execute regular risk assessments to maintain a robust and relevant compliance program

Develop and supervise annual company-wide training on ethics and compliance

Assist in cultivating a workplace that supports open dialogue on complex, and sometimes difficult, conversations about diversity and inclusion

Analyze regulatory updates and revised ethics and compliance program components

Communicate compliance issues to relevant government agencies

Ensure completion of documentation and final resolution of all legal and regulatory compliance deficiencies and corrective actions


Substantial business and management experience, including the ability to motivate and inspire Must have at least 7 years of directly relevant compliance-related experience (we may accept fewer years of compliance experience if you are a licensed attorney).

Must be highly skilled at working cross-functionally and cross-culturally with people at all levels, including influencing C-Suite and other senior leaders.

Must have experience in the strategic planning process including serving as a catalyst for organizational change, cultivating a shared vision with others, and motivating others to transfer vision into action. 

Previous experience formulating, modifying, and implementing policies and procedures is required. 

Must possess a strong global mindset, understanding of various global cultures and knowledge of global diversity.

Experience researching, interpreting, and applying national, state, and local laws and guidance, in order to resolve questions, problems, or concerns. 

Experience conducting and overseeing compliance reviews, and designing processes for high-risk compliance issues and institutional compliance gaps including ability to develop and manage relevant performance metrics. 

Experience managing sensitive information. 

Experience creating and monitoring policies and initiatives, and amending them as needed, in order to support the organization's mission. 

Must have the ability to successfully work in a matrix environment across multiple business units and geographies.

Must have the ability to develop and deliver training.

Must have strong communications skills, including in public speaking and professional writing.

Prior experience in government contracts, export control compliance, and/or diversity and inclusion is preferred.

Certification as a compliance professional is preferred.

Comfortable with eLearning and learning management systems.

Strong written and oral communication skills.
