Job Descriptionrn rnPosition Title: Sarbanes Oxley Manager                       Reports to (Position Title): Chief Financial OfficerFLSA Status: Exemptrn rnPosition SummaryrnPSC Metals, LLC is seeking a Sarbanes Oxley Manager responsible for the activities of the Internal Controls Department and directing the Company's internal control assessment process to ensure compliance with SOX regulations through continuous improvement in internal control procedures.  rn rnDuties & Responsibilities rnrnLead the refresh and annual process narrative and risk control matrix updates including validation with the process owners.rnCollaborate with internal audit for the development of efficient and effective SOX testing protocols. rnDrive Sarbanes-Oxley (SOX) programs by working with the Corporate Controller's team to determine key areas of focus. rnProvide accurate and timely responses to audit requests so that auditors fully understand the status of direct controls, compensating controls and actions taken by the Company to ensure compliance with audit requirements. rnDesign and implement appropriate entity level and other controls with the objective of enhancing the internal control environment while increasing efficiency. rnEnsure a process level understanding exists among relevant constituents to ensure the operating effectiveness of key controls. rnLead s302 and s404 certification process. rnDrive continuous improvement through the existing SOX framework and promote an internal control model that can be replicated across all business units. rnPrepare and disseminate communications and training on effective internal control procedures, internal control documentation and SOX compliance protocols. rnDevelop and provide recommendations and remediation plans to management for control improvements.rnReach alignment with external auditors with respect to existing compliance effort and perform a SOX controls rationalization in accordance with the SEC's Interpretive Guidance and AS5. rnReduce SOX compliance costs by using a top-down risk-based approach and integrating controls into daily tasks. rnEstablish and lead a SOX Steering Committee. rnAssist Executive ERM Committee and Executive Compliance Committee with various coordination efforts and tasks as needed. rnOther duties as may be assigned from time to time.rnrnKnowledge, Skills, and AbilitiesrnrnBachelor's degree in finance, accounting, or related field; rnMetals experience preferred.rn10 -12 years' experience in public accounting and/or industry. rnBig 4 Public Accounting Firm experience working with public registrants, preferably in the metals and/or automotive industry. rnStrong and thorough understanding of SOX s301 and s404 at a large company. rnExperience designing and implementing risk assessments and internal controls. rnSolid technical accounting background (US GAAP, SEC Rules, and Regulations). rnProven ability to provide leadership, guidance, and training to finance staff throughout the organization. rnStrong supervisory skills and ability to develop staff. rnSound planning and organizational skills, with an emphasis on continual process improvement, benchmarking, and best practices. rnAbility to work under tight time constraints, handle sensitive data and multi-task so that deadlines are met.rnHighly organized and able to prioritize and manage time efficiently with the ability to handle stress in a fast-paced, deadline-driven environment.rnAbility to travel to multi-state locations a minimum of 25%.rnrn rnPhysical Demands/Work EnvironmentrnThe physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.  Reasonable accommodations may be made to enable individuals with disabilities to perform the essential functions.    rnThe characteristics described here are representative of those an employee encounters while performing the essential functions of this job.  rn rnPhysical DemandsrnrnRepetitive movement of hands and fingers, typing or writing.rnOccasional standing and walking.rnReach with hands and arms.rnOccasional travel.rnTalk and hear.rn
